• Advising clients and drafting documents for various compensation plans including deferred compensation, stock option plans and stock appreciation rights;


• Structuring and documenting Internal Revenue Code Section 1031 like kind exchanges;


• Counseling clients pertaining to technology and software license issues as well as preparing appropriate documents, and


• Assisting clients resolve shareholder as well as franchisor/franchisee disputes and drafting necessary separation documents.
