Advising on how best to comply with regulatory requirements and statutes;
Creating clear and effective documents to support daily operating decisions, e.g. employment agreements, vendor contracts, real estate leases, franchise agreements and offering circulars;
Working with our clients to develop winning growth and exit strategies and preparing the necessary documents such as shareholder and operating agreements, consulting agreements, and licensing agreements;
Preparing and negotiating all pertinent buy and sell documents to consummate mergers and acquisitions and exchange of assets;
Providing legal support for investors and capital raising ventures;
Developing a structure and drafting documents for re-organizations, including tax-free reorganizations;
Advising clients and drafting documents for various compensation plans including deferred compensation, stock option plans and stock appreciation rights;
Structuring and documenting Internal Revenue Code Section 1031 like kind exchanges;
Counseling clients pertaining to technology and software license issues as well as preparing appropriate documents, and
Assisting clients resolve shareholder as well as franchisor/franchisee disputes and drafting necessary separation documents.
